Terms of Service
Welcome to ZorroFlow (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our SMS infrastructure API, dashboard, and related services (collectively, the “Services”).
1. Acceptance of Terms
By registering an account or accessing our API, you enter into a binding legal agreement with ZorroFlow Inc. If you do not agree to these terms, please do not use our services.

ZorroFlow SMS provides an SMS messaging API platform that allows developers and businesses to send text messages programmatically. Our services include:
3. Acceptable Use Policy (AUP)
You agree to use the Services strictly in compliance with all applicable laws, including the TCPA (USA), GDPR (EU), and local telecommunications regulations.
You must NOT use the Services to:
- Send unsolicited marketing messages (spam) without explicit opt-in consent
- Transmit content that is fraudulent, phishing, or malicious
- Send SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco)
- Interfere with or disrupt the integrity or performance of the API
- Harass, threaten, or harm any person
- Impersonate any person or entity
Violation of this AUP may result in immediate account suspension and forfeiture of credits.
4. User Accounts
To use our services, you must create an account. You are responsible for:
- Credentials: Maintaining the confidentiality of your account credentials and API keys
- Activity: All activities that occur under your account
- Notification: Notifying us immediately of any unauthorized use
5. Fees and Payments
Prepaid Credits
Services are provided on a prepaid credit basis. Credits are purchased in advance and deducted upon message submission to the carrier network, regardless of final delivery status (unless otherwise specified in a specific Service Level Agreement).
Credit Expiration
Credits are non-refundable and expire 12 months after purchase. Pricing varies by destination country and is subject to change with 30 days notice.
Refunds
Refunds are only issued if required by law or in the event of a proven platform outage lasting more than 24 hours.
6. Service Availability
While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue services with reasonable notice.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZORROFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless ZorroFlow and its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services or violation of these Terms.
9. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the Services will be suspended immediately
- Any unused credits will be forfeited (except where prohibited by law)
- Your data will be retained as required by law and then deleted
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
